The Company is an AIF as defined for the purposes of the Alternative Investment Fund Managers Directive 2011/61/EU (“AIFMD”), and the Company and the Investment Manager are seeking to market the A7 Shares into certain countries in the European Economic Area (“EEA countries”) in reliance on Article 42 of the AIFMD, as implemented in the national laws of those countries, and, for example, under the restrictions of the conditions as described below for ‘United Kingdom’.


United Kingdom


You are (a) person who is resident and established outside the United Kingdom; (b) investment professional, being person experienced in participating in unregulated collective investment schemes and who meet the requirements under Article 19 of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (“FPO"); (c) person who is a high net worth company, trustee of high net worth trust(s) and other entities who meet the requirements under Article 49 of the FPO; or (d) any other person to whom the Company may lawfully be marketed.


Switzerland


You are a Qualified Investor as defined in the Swiss Collective Investment Schemes Act of June 23, 2006, as amended, and its implementing ordinance.


Hong Kong


You are a Professional Investor within the meaning of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong) and any rules made thereunder or in other circumstances which do not result in such document being a “prospectus” as defined in the Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap. 32 of the Laws of Hong Kong) or which do not constitute an offer to the public within the meaning of the Companies (Winding Up and Miscellaneous Provisions) Ordinance; and (b) no person may issue, or have in its possession for the purpose of issue, any invitation, advertisement or other document relating to the shares whether in Hong Kong or elsewhere, which is directed at, or the contents of which are likely to be accessed or read by, the public in Hong Kong (except if permitted to do so under the securities laws of Hong Kong) other than with respect to the shares which are or are intended to be disposed of only to persons outside Hong Kong or only to “professional investors”.
